Payet impressed on his first starts for France against Uruguay and Brazil last week and has been linked with Marseille, while young left-back Digne is reportedly attracting the interest of Ligue 1 champions Paris St Germain.
Pacquet told Radio Monte Carlo: "We are listening and if there is an offer which corresponds to their market value, we will think about it.
"In the end LOSC must benefit."
With Les Dogues in need of money, they may be forced to cash in on some of their most coveted players.
But midfielder Florian Thauvin will not be among them, according to Pacquet.
The 20-year-old was signed from Bastia in January and was loaned back for the remainder of the season, with his impressive performances earning him Ligue 1's young player of the season award.
He too has been linked with OM but Pacquet said: "There is nothing to say about Thauvin.
"The question has not even arisen, he will be here next season. President (Michel) Seydoux has been clear on this and everyone is on the same wavelength."
Seydoux told La Provence last week: "It is out of the question that Thauvin leaves LOSC.
